This agreement is entered into this _____Day/Month/year *__________
by and between ___Authoriziing Agent*___ (hereinafter called "Client",
or " Agent",or "Authorizing Agent") and ______c-ez.com______
(hereinafter called "Programmer").
The Programmer will provide a "Home Site" on the World Wide Web of the Internet according to the following design specifications approved by the Client:

Client hereby agrees to pay the programmer $__U.S.Dollars*___for creating the Home Page and placing the site at a World Wide Web address for one year from this date. The Client understands that the Programmer can not guarantee the Client's expectation of profits or other benefits from the Home Site. The programmer warrants that the basic Home Site will be operational at the internet address within __Three___ days from the signing of this Agreement. The site will function technically as agreed upon. Once the Home Site can be accessed at the World Wide Web address below, the client can view or cancel the home page for up to seven days. At the end of seven days the client will be billed per the order form. In the event there is a problem with any payment by the client, the programmer can remove the site from the WEB till proper payment is received.When payment is received, the Programmer will list the home site with at least six popular "World Wide Web search engines." The Client understands it may take two to four or more weeks for some search engines to post Home Site information. The Programmer has no control over such delays.

In the event of any unresolvable dispute involving any aspect of this Agreement, the Programmer has the option to provide a prorated refund, based on the unused portion of this agreement, and the right to remove the Home Site from the World Wide Web of the Internet. The Programmer's liability is strictly limited to any unused portion of the full amount paid (minus any taxes) by the Client to the Programmer for the above service . Only Certified, dated U.S. Mail addressed to the Programmer's address or Client business address shall serve as the means of notice for determining any start of proration.
The Client retains all rights to logos, photographs, and any other graphics which the Client supplied. The Programmer retains all rights to the creative and technical processes, source codes (and any other codes), proprietary methods used to create the home site, and graphics/photos created or supplied by the Programmer. The programmer will not be required to return any material supplied to the programmer by the client or agents of the client.
The Client agrees to protect and indemnify the Programmer against all claims of copyright infringement, plagiarism, libel, and invasion of privacy resulting from content or material which was provided by the Client.
The Client and Programmer agree to use only written agreements to append or modify this agreement.
